TERMS AND CONDITIONS
Cancellation Right:
Roc Nation LLC & REFORM Alliance (“Roc Nation & REFORM Alliance”, and together with you, each a “Party” and collectively, the “Parties”), in its sole discretion, may cancel this job fair (the “Event”) at any time. The terms and conditions set forth in the “Release and Waiver of Liability” and “Confidentiality” sections shall survive the cancellation of the Event.
Compliance with Laws:
Each Party shall be solely responsible for complying with any applicable law or regulation.
Release and Waiver of Liability:
You hereby agree to (i) expressly, willing, and voluntarily assume full responsibility for risk of any and every kind involved with or arising from, or related to, your participation in the Event, and accept the terms and conditions set forth herein and any other information shared by Roc Nation in connection with, or related to, the Event “as is”, without any representations or warranties (express or implied), including, without limitation, warranties of merchantability and/or fitness for a particular purpose, and (ii) irrevocably forever release and discharge Roc Nation, its affiliates, their respective employees, agents, representatives, contractors, subcontractors, legal representatives, successors, heirs and assigns (the “Released Parties”) from, and hold them harmless for, any liabilities, damages (including, without limitation, incidental, consequential, punitive or special damages), claims, rights, demands or causes of action (whether known or unknown, suspected or unsuspected), directly or indirectly, arising out of, or related to, your participation in the Event. Notwithstanding the foregoing, you hereby acknowledge and agree that (i) none of the Released Parties make, or have made, any representation or warranty (express or implied) with respect to any of the Event's participants (including, but not limited to, employers and service providers), and (ii) the Released Parties assume no liability whatsoever with respect to, and shall not be responsible to you for, any agreement, arrangement, relationship, communications or any other interactions of any and every kind (whether oral or written) between you and any of the Event's participants (including, but not limited to, employers and service providers).
Confidentiality:
Except as may be required by any law or regulation, you shall not, without the prior written consent of Roc Nation, publicly divulge, announce or in any manner disclose to any third party, any Confidential Information (as defined below) (i) related to the Event, including the terms and conditions set forth herein, or (ii) about Roc Nation, its affiliates, or their respective employees, agents, representatives, contractors, subcontractors or legal representatives. You shall preserve such Confidential Information as strictly confidential and do all things reasonably necessary to prevent any such Confidential Information from becoming known to any third party. “Confidential Information” (a) includes, without limitation, ideas, proposals, plans, information procedures, techniques, pricing, operations, finances know-how, processes, as well as information designated or labeled as ‘confidential’ or words of similar import, or information that a reasonable person would consider from the nature of the information or the circumstances of disclosure to be confidential, and (b) excludes information that you can demonstrate is or was: (i) publicly available, without violation or breach of the terms and conditions set forth herein by you; (ii) rightfully obtained by you from an independent third party, free of any restriction or obligation of confidentiality; or (iii) independently developed by you without use of or reference to Confidential Information.
